MAP Policy

SKINNY FLAV INC. MINIMUM ADVERTISED PRICE POLICY

Effective: January 17th, 2022

1. INTRODUCTION

Skinny Flav Inc. ("Company") is committed to maintaining the superior quality and integrity of its products sold under the Sauce Bae brand. To protect its reputation and the value of its trademarks, the Company has adopted this Minimum Advertised Price Policy (MAP Policy).

2. SCOPE

This MAP Policy applies to all distributors, retailers, and resellers (collectively, "Resellers") of products sold under the Sauce Bae brand in the United States.

3. POLICY STATEMENT

Resellers may not advertise products of the Sauce Bae brand at a price lower than the Minimum Advertised Price (MAP) established by the Company. The current MAP for each product can be obtained by contacting the Company directly.

Advertising includes any price listing accessible to customers, including but not limited to online pricing on websites, online marketplaces such as Amazon Marketplace and Walmart Marketplace, mobile applications, email newsletters, print ads, and direct mailings.

4. ONLINE SALES RESTRICTIONS

Resellers are expressly prohibited from selling products of the Sauce Bae brand on third-party online marketplaces, such as Amazon Marketplace and Walmart Marketplace, without the prior written approval of the Company.

5. POLICY VIOLATIONS

If the Company determines, in its sole discretion, that a Reseller has violated this MAP Policy, it may take any or all of the following actions:

- Issue a warning to the Reseller.
- Terminate the Reseller’s ability to purchase products of the Sauce Bae brand.
- Pursue legal action against the Reseller.

6. MODIFICATIONS

The Company reserves the right to update or modify this MAP Policy at any time. Any such modifications will be posted on the Company's website and will be effective immediately upon posting.
